Data Licensing Terms
Stoa Labs FZ-LLC · Ras Al Khaimah, United Arab Emirates
1. Agreement and transaction documents
1.1 Parties and scope
AI26 is a trading brand of Stoa Labs FZ-LLC, Ras Al Khaimah, United Arab Emirates (AI26, we or us). These Data Licensing Terms govern business-to-business transactions with the company identified as the data provider in a signed order form (Provider or you). They do not themselves create a transaction merely because someone visits this website or makes an inquiry.
1.2 Order forms and versions
An agreement takes effect when authorized representatives of both parties sign an order form that identifies these Terms by version and date. Each order is a separate agreement incorporating its manifest and expressly identified schedules. An order must identify the parties, authorized contacts, data, permitted purposes, fees and currency, payment conditions, delivery and review dates, retention requirements, governing law and dispute forum. Do not transfer data before these details and any required privacy schedules have been agreed. The applicable version remains fixed for that order; changes on this website affect neither existing orders nor accrued rights.
1.3 Priority and interpretation
Mandatory law prevails. Any mandatory transfer instrument prevails within its subject matter, followed by a signed privacy schedule, an express order-form variation, these Terms, and the manifest. An order variation affects only that order. A manifest describes the data and cannot silently broaden a license. Includes and including are illustrative, not exhaustive. Business day means a day other than Saturday, Sunday or a public holiday at AI26’s stated business location, unless the order specifies otherwise.
1.4 Commercial role
AI26 licenses and prepares business data and may license or sublicense it commercially to AI research laboratories, model developers and other approved business customers, directly or through further authorized licensees. This may include the sale of data licenses for consideration. The underlying data remains licensed, not transferred in ownership. AI26 acts on its own account; it is not your agent, trustee, fiduciary or exclusive representative. No customer, sale, minimum price, acceptance, volume or payout is promised by website examples or eligibility criteria. A signed order determines the transaction.
2. Data scope, delivery and review
2.1 Manifest and exclusions
The data manifest must accurately describe source systems, ownership, dates, volumes, formats, languages, completeness, personal-data categories, relevant jurisdictions, third-party restrictions, prior grants, AI-generated material and agreed exclusions. Identify confidential client material and restricted records before export. A selected sample must not misleadingly represent a broader corpus. You must promptly disclose any material change or omission and obtain written approval for substitutions.
2.2 Delivery
You will deliver the agreed data and supporting provenance records on the agreed timetable using an approved secure method. AI26 bears reasonable, pre-approved export and delivery costs unless the order allocates them differently. No unapproved expense is reimbursable. You must not provide passwords, active access tokens or unrestricted access to live systems. Any connector must use separately agreed, limited and revocable permissions.
2.3 Review and acceptance
AI26 may assess completeness, technical integrity, quality, accuracy, usability and conformity with the manifest, reasonably and in good faith. Unless the order expressly provides a different review timetable, AI26 has 30 business days after complete delivery of an identified batch and required supporting materials to accept it or send a rejection identifying the affected material and explaining the deficiencies. Absent timely rejection, that batch is accepted. An incomplete delivery does not start the clock; AI26 must promptly identify what is missing. Customer acceptance is a separate payment condition and is not implied by AI26’s acceptance.
2.4 Corrections and rejected material
You will use commercially reasonable efforts to correct identified deficiencies promptly and resubmit the affected material without additional charge. A resubmitted batch has a fresh review period. A valid rejection creates no purchase obligation or commercial license for the rejected portion. Evaluation rights are limited as stated below. Acceptance does not waive rights concerning provenance, ownership, consent or another warranty.
2.5 Latent technical defects
A claim solely about a hidden technical defect or material departure from the manifest must be notified within 60 days after acceptance of the affected batch. For a substantiated claim, you may correct the problem, supply an equivalent replacement acceptable on reasonable grounds, or refund the allocable amount received. This exclusive technical remedy does not cover fraud, gross negligence, intentional wrongdoing, title, intellectual property, privacy, permissions, provenance, prohibited data, indemnified matters or a separately agreed downstream warranty.
2.6 Verification and records
Before acceptance and on a substantiated compliance concern afterward, AI26 may request reasonable evidence of ownership, consents, sourcing, completeness and restrictions. You must retain relevant records for seven years after the order ends, or longer if law requires. An independent reviewer bound by confidentiality may inspect relevant records on reasonable notice, without unnecessary access to unrelated systems or personal information. Each party ordinarily bears its review costs; you reimburse reasonable verification costs if a material misrepresentation or breach is established. No audit is unlimited or permits access contrary to law.
3. License, evaluation and onward licensing
3.1 Limited evaluation permission
For data delivered under a signed order, you authorize AI26 and its contracted affiliates, technical providers and prospective customers to securely receive, inspect, validate, redact and evaluate it solely to assess and prepare the proposed transaction. Recipients must be bound by the safeguards and restrictions below. This permission allows necessary test transformations, but not production-model training, commercial exploitation or unrestricted redistribution before the commercial-license trigger. Rejected or unpaid data has no commercial license. Limited retention for disputes or law remains subject to confidentiality.
3.2 Commercial license and payment trigger
For each accepted batch, you grant AI26 and its affiliates a nonexclusive, worldwide license for the duration of the relevant intellectual-property rights, with irrevocable rights subject to mandatory law and the express remedies here. The commercial license activates when AI26 has accepted the batch and either receives cleared customer funds attributable to it or pays you its agreed license fee in advance. You expressly authorize AI26 to grant corresponding paid downstream rights at that trigger, before remitting your fee under Section 6. AI26’s resulting obligation to remit your fee remains enforceable; receipt by you is not a condition to a downstream license that has validly activated. Before that trigger only Section 3.1 applies.
3.3 Permitted activities
Within the agreed purposes, AI26 may copy, store, organize, annotate, clean, combine, analyze, translate, adapt, transform, display and distribute licensed material, create modified and synthetic datasets, and use it in AI and machine-learning training, fine-tuning, testing, evaluation and development. AI26 may grant equivalent rights through multiple licensing tiers to laboratories, developers and approved customers, including rights to commercialize resulting models and services. Each grant remains subject to privacy law, use limitations and contractual safeguards. No future data or live-system access is included automatically.
3.4 Compensation and nonexclusivity
The negotiated fee is the only compensation for the authorized license, with no continuing royalty, revenue share or ownership in models unless an order expressly states otherwise. AI26 may set its customer prices and retain its commercial margin. Confidential customer prices, margins and identities need not be disclosed merely to establish your fixed fee; any revenue-share arrangement must instead provide an agreed verification method. You retain freedom to use your data. Any exclusive period, territory, buyer category or competing-license restriction must be explicit in the order, subject to the prior-grant warranty below.
3.5 Raw-data redistribution
The default permission covers appropriately prepared licensed data and derived datasets for the stated AI purposes, not resale of your unchanged source files as a standalone data product. Such raw-data distribution requires your express authorization in the order identifying permitted recipients or recipient categories, purposes and safeguards. Processing vendors acting only on AI26’s behalf may receive necessary source material under restricted access. This clause does not authorize a recipient to breach an independently applicable restriction.
3.6 Restrictions and privacy preparation
Before any customer receives data for AI training, fine-tuning or model development, AI26 will implement reasonable technical and organizational steps to remove, anonymize or pseudonymize personal identifiers as appropriate. Pseudonymized information remains personal information where law so provides. Neither AI26 nor its authorized recipients may knowingly identify a person or specific customer from de-identified records, reverse-engineer your proprietary workflows, pricing methods, customer relationships or business processes, or use the data for the purpose of directly competing with your business as it exists at signing or as reasonably described to AI26 in writing. General-purpose AI development is not itself evidence of such a competitive purpose. These restrictions apply to affiliates, customers and service providers.
3.7 Downstream contracts
Before disclosure, AI26 will require each authorized recipient to accept substantially equivalent confidentiality, security, permitted-purpose, privacy, onward-disclosure and retention obligations. Recipients must impose equivalent obligations on further recipients. AI26 remains responsible for its own contractual promises, including obtaining those commitments and reasonably enforcing them after learning of a material breach. No sublicense enlarges the Provider’s original authorization or overrides an individual’s statutory rights.
4. Ownership and confidentiality
4.1 Ownership allocation
You keep ownership of the supplied data and your pre-existing materials. AI26 and its recipients own their independently developed technology, models, weights, annotations, modifications and other original contributions, subject to your underlying rights and the agreed license. This allocation cannot create ownership that applicable law does not recognize. Neither party acquires the other’s trademarks or unrelated intellectual property.
4.2 Protected information
Nonpublic data, provenance, security information, pricing, manifests, transaction existence and terms, customer introductions and counterparties are confidential. A recipient may use them only to perform the agreement or exercise its permitted rights, must apply at least reasonable care, and must restrict access to people with a genuine need to know and enforceable confidentiality duties. Authorized disclosures under Section 3 do not require a second commercial consent but remain subject to Section 4.4 and privacy law.
4.3 Exceptions and compelled disclosure
Confidentiality does not restrict information shown by records to have become public without breach, to have been held without restriction beforehand, or to have been developed independently without the protected information. A legally required disclosure is permitted only to the necessary extent, with prior notice where lawful and reasonable cooperation to seek protection. Neither party must violate a legal duty to keep the other informed.
4.4 Identity, publicity and buyer confidentiality
Neither party may use the other’s name or marks in publicity without written permission. AI26 will not publicly identify you or disclose your identity or the specific source of the data to a customer without your prior written consent, which may be given in an order for identified recipients or categories. Data must be prepared consistently with that obligation. AI26’s customer identities and commercial arrangements are confidential and need not appear on this public page. These protections do not displace legally required recipient transparency, due diligence, regulatory reporting or disclosures needed to exercise statutory rights. If those duties cannot be met, the affected data must not be transferred.
4.5 Duration and introductions
Ordinary confidentiality lasts for three years after termination; trade-secret protection lasts while the information qualifies as a trade secret. Privacy, security and use restrictions continue while protected data is retained. You must not misuse confidential customer introductions, negotiate using AI26’s confidential pricing, or falsely represent authority to act for AI26. There is no general restraint on independently established customer relationships or lawful competition; any additional, limited non-circumvention arrangement requires a signed order.
5. Privacy, security and incident response
5.1 Legal roles and transfer conditions
Each party is responsible for the obligations applicable to its actual role under data-protection law. These Terms do not automatically designate either party as a processor, service provider or independent controller. Where required, the parties must sign the appropriate processing, controller-sharing and cross-border transfer instruments before transfer. Transfers involving the EU/EEA or other regulated jurisdictions require a lawful basis, required transparency, rights handling and an applicable transfer mechanism. Contractual warranties are not a substitute for those measures.
5.2 Security controls
AI26 will maintain reasonable administrative, physical and technical protections appropriate to confidential business data, including encryption during transfer and storage, need-to-know access, documented security policies and appropriate controls for its providers. You must use approved delivery channels and protect data until delivery. Neither party promises that all security risks can be eliminated.
5.3 Incidents
AI26 will notify you promptly, and no later than two business days after becoming aware of material unauthorized access to or disclosure of the data in its custody or that of its authorized recipients. It will investigate, contain and remediate the incident at its own expense and reasonably cooperate with your investigation, providing available information about the scope, affected records and response. Shorter mandatory reporting deadlines still apply. You must notify AI26 without undue delay of an incident, compromised source, lost permission or rights claim affecting delivered data. Neither party may make admissions on the other’s behalf.
5.4 California personal information
If California personal information is sold or shared under an order, the limited purposes are the specified AI training, fine-tuning, testing and improvement activities, including necessary preparation and de-identification. AI26 must use it only for those purposes, comply with applicable CCPA requirements, provide the required level of privacy protection and reasonable security, and handle valid opt-out, deletion and other requests forwarded by you to the extent required by law. On reasonable notice, you may obtain a written compliance confirmation and take reasonable steps to stop and remediate unauthorized use. AI26 must promptly inform you if it can no longer comply and impose equivalent duties downstream. Nothing waives a mandatory right or permits an unlawful onward sale.
5.5 Rights requests and cooperation
The parties will reasonably cooperate on access, correction, deletion, objection, withdrawal, opt-out and regulator requests, including identifying affected batches and notifying recipients where required. Neither party may ignore a valid statutory obligation because the commercial license is described as perpetual. Model deletion, unlearning or retraining is not contractually required merely by a routine deletion request, but must occur if applicable law or a binding order requires it. Costs attributable to a party’s breach are borne by that party; other extraordinary assistance costs must be agreed reasonably.
5.6 Data minimization
Exclude unnecessary personal information and credentials before delivery. Particularly sensitive or specially regulated information requires written approval, a lawful transfer basis and any required protective schedule; written approval cannot authorize unlawful processing. If a required consent, legal basis or transfer safeguard is absent or fails, processing and distribution of the affected material must be suspended pending a lawful resolution.
6. Price, customer funding and taxes
6.1 Agreed price only
Your fee, currency, allocations by batch and any approved expenses must be stated in the order. Advertised payout ranges are illustrative and are not an offer or guarantee. No amount is due for a validly rejected batch or for data outside the agreed scope. Acceptance permits you to invoice but does not remove the funding condition below.
6.2 Payment after buyer payment
Unless an order expressly changes this rule, your entitlement to payment for an accepted batch is conditional on AI26 receiving cleared, unrestricted customer funds attributable to that batch. Customer delay, insolvency or refusal can therefore delay payment or mean that no fee becomes payable. AI26 does not guarantee customer payment. It will act in good faith, make commercially reasonable collection efforts, and must not intentionally divert or prevent receipt to avoid paying you. No production license activates solely on AI26’s acceptance. If AI26 elects to use the data commercially without a paying customer, it must pay the agreed fee itself before that use.
6.3 Remittance and accounting
AI26 will remit the undisputed amount due to you within 15 calendar days after AI26 receives the relevant cleared customer payment. The payment deadline runs from AI26’s receipt of that payment and is not extended by the date of invoice receipt. You must provide accurate invoicing, payment and tax details in advance. Partial customer receipts produce proportionate payment against the corresponding batch unless the order specifies another allocation. AI26 may supply redacted payment-status evidence without revealing unrelated customer terms. Any deductions, expense allocations or revenue-share calculations require an express order-form basis; a negotiated fixed fee is not reduced merely because AI26’s margin changes.
6.4 Disputes, refunds and setoff
AI26 must notify you of a genuine invoice dispute and pay the undisputed portion when due. It may suspend the disputed amount while reasonably investigating a material rights, provenance or compliance concern. Refunds and chargebacks caused by your material breach or misrepresentation may be recovered to the extent substantiated, without duplicate recovery. AI26 may offset an amount you acknowledge in writing or that has been finally determined, or an expressly permitted order-form refund, against sums otherwise due, with an itemized notice. A customer dispute unrelated to your performance does not by itself entitle AI26 to recover money already properly paid to you.
6.5 Taxes and payment details
Each party bears taxes legally imposed on it. Transaction prices exclude applicable sales, use and value-added taxes, which you must separately state where required. AI26 may make legally required withholding and provide available supporting records. The order must allocate transfer fees and exchange-rate treatment. You must verify beneficiary details through the agreed process; neither party is required to follow an unverified payment-redirection message.
7. Provider warranties and continuing responsibilities
7.1 Authority and conflicting grants
You have authority to contract and grant the specified rights, and performance violates no binding obligation. Except for grants fully disclosed and expressly approved in the order, you have not previously granted another party licensing, access or exploitation rights to the same data on materially comparable terms. You must identify existing exclusivity, liens and other restrictions. Nonexclusivity in these Terms does not cure an undisclosed prior conflicting grant.
7.2 Ownership and permissions
The material was created by you or personnel whose rights you hold, or you have secured all necessary permissions from relevant owners. Authorized use must not require AI26 or its recipients to obtain additional rights, pay third parties or provide attribution not expressly agreed in the order. Employment alone, access to an account or possession of a file is not a warranty of ownership.
7.3 Personal information and individual releases
You have obtained the consents, notices, permissions or other valid legal bases required for collection and for the disclosure, sale, sharing, international transfer and AI uses contemplated here, including onward recipients. Where applicable, you have obtained legally required authorizations concerning identifiable people’s image, likeness, voice, persona, publicity, privacy and moral rights. You will retain supporting records for at least seven years after termination and provide relevant evidence on reasonable request, with appropriate privacy protections.
7.4 Infringement, encumbrances and platform rules
To your knowledge, the data and authorized uses do not violate intellectual-property, privacy or publicity rights. The data is free from undisclosed security interests and encumbrances. Creation, collection and processing have not breached terms binding on you; to your knowledge, authorized use will not impose incompatible third-party terms on AI26 or its recipients. The presence of a tool’s logo on this website does not establish permission to export or license material from that tool.
7.5 Excluded material
Unless expressly approved in an order with all legally necessary safeguards, the data must exclude protected health information, regulated biometric identifiers, payment-card or financial-account numbers and access/security codes, information about people under 18 or a higher legally applicable age, and export-controlled, classified or government-restricted information. It must also exclude unlawful or defamatory content, obscene or pornographic material, malware or destructive code, active credentials, privileged legal communications and information you lack authority to disclose. No exception permits illegal material or conduct. You must promptly use best efforts to remove or replace affected material at your cost when discovered, without limiting indemnification.
7.6 Lawful operations
Your collection, recording, processing, storage and delivery comply in all material respects with applicable privacy, database, confidentiality, recording, employment, cross-border transfer and other relevant laws. You will not use unauthorized scraping, crawling or automated harvesting, or collection prohibited by applicable platform contracts. To your knowledge, third-party sources satisfy the same requirements. You must not conceal a source or fabricate provenance.
7.7 Authenticity, access and claims
To your knowledge, the corpus contains no synthetic, AI-generated or deepfake content except as specifically identified in the order. You have inserted no mechanism permitting unauthorized remote access, interference or disablement of licensed data. To your knowledge, there is no undisclosed pending or threatened proceeding affecting the data or granted rights. You must promptly disclose relevant claims, investigations, permission withdrawals and other circumstances affecting performance or lawful use.
7.8 Ongoing accuracy
These assurances apply at signing and each delivery. You must correct a materially inaccurate statement promptly and cooperate in quarantining affected data. AI26’s diligence, inspection or acceptance does not shift responsibility for your representations to AI26. Exceptions must be specifically documented and approved; general disclaimers in exports or invoices do not qualify these warranties.
8. AI26 assurances and risk allocation
8.1 Authority and lawful use
AI26 has authority to enter into each agreement and will comply in all material respects with applicable law governing its processing, security, storage, licensing and AI-related activities. Its commitments to onward recipients must remain within the rights actually obtained from you.
8.2 No outcome warranty
Except for express promises in the agreement and non-excludable legal duties, AI26 gives no assurance of customer demand, valuation, eligibility, speed of completion, model performance or financial outcome. AI26 may decline a proposed order or prospective buyer. Neither party relies on an unsigned forecast, website statement or informal estimate as a binding payment promise.
8.3 Compliance suspension
AI26 may suspend affected evaluation, distribution or further delivery if it reasonably identifies legal, security, provenance or sanctions risk, and will give notice and a reasonable explanation where lawful. Suspension must be proportionate and reviewed in good faith. It does not automatically cancel accrued, undisputed payment obligations or authorize indefinite retention.
9. Duration, termination and deletion
9.1 Ending an order
An order continues from its effective date until completed or terminated. Either party may end it on 30 days’ written notice, or for a material breach not remedied within 10 days after written notice. A breach incapable of lawful remedy, or a prohibited transfer that must stop immediately, permits immediate suspension or termination of the affected activities. Accepted batches remain subject to the agreed payment conditions; termination alone does not erase accrued entitlements.
9.2 Material misrepresentation
If AI26 reasonably determines in good faith that a manifest or other material representation was materially false or misleading when supplied, it may terminate the affected order immediately with written reasons and no cure period. No unpaid fee is owed for that order and you must refund amounts already paid under it, subject to mandatory law and the prohibition on double recovery. No commercial rights are valid for data affected by that misrepresentation; AI26 must cease further exploitation, notify affected recipients and pursue suspension, deletion and other legally available remedies. AI26 cannot promise that trained models or third-party acts can always be technically reversed. This remedy survives acceptance and is additional to indemnity and other available remedies.
9.3 Deletion timetable
Unless a lawful, specifically negotiated order changes the timetable, AI26 will delete source data no later than 120 days after final delivery or on termination, whichever is earlier. Data under a voided order must be deleted promptly. AI26 will confirm deletion in writing on request and require corresponding downstream retention and deletion commitments. A license’s stated duration does not itself authorize retaining source data beyond this timetable.
9.4 Exceptions and derivative materials
Routine backups and legally required records may remain for their applicable retention periods under continuing access and confidentiality restrictions; retained backup data must not be restored to active commercial use and must age out under the normal schedule. For lawfully accepted data whose commercial license has activated, deletion does not ordinarily require destroying permitted derivatives, models or weights, or retraining them. Exceptions never override mandatory privacy remedies, binding legal orders or the consequences of invalid rights. Protected source data cannot be retained merely by relabeling it a derivative.
9.5 Survival
Accrued payment and refund duties, valid activated licenses and their restrictions, ownership, confidentiality for its stated duration, privacy and security while relevant data is held, records retention, indemnities, liability limits and dispute/general provisions survive as their nature requires. Agreed audit or exclusivity provisions survive only for their express periods. Termination ends unused evaluation permission except for strictly necessary legal or dispute retention.
10. Liability and indemnities
10.1 Excluded losses and cap
To the extent law permits, neither party owes the other indirect, special, incidental, exemplary, punitive or consequential damages, including lost profit, revenue, goodwill or business opportunity. This exclusion does not apply to fraud, gross negligence, intentional misconduct or an indemnification obligation. Except for fraud, gross negligence, intentional misconduct and liabilities that law forbids limiting, each party’s aggregate liability under an order is capped at three times the total provider fees paid or conditionally payable for that order. For calculating the cap, conditionally payable fees include the contracted fee for the affected accepted batches even if customer funding has not yet arrived. The Provider’s liability for defective title, missing permissions, privacy violations, material provenance misrepresentations, breach of confidentiality, and indemnified claims arising from those matters is not subject to that monetary cap. Other indemnities remain subject to the cap unless a signed order expressly states otherwise. These limits do not reduce a primary obligation to remit an earned fee or return an expressly required refund; an amount paid cannot be recovered twice.
10.2 Provider indemnity
You will defend and indemnify AI26, its affiliates and their personnel, representatives and agents against third-party claims and resulting liabilities, reasonable defense costs and legally indemnifiable losses arising from an actual or alleged breach of your warranties or duties; defective rights or unauthorized data, including intellectual-property, privacy, publicity or data-protection claims; or fraud, gross negligence or intentional misconduct by you or your personnel or contractors. This includes qualifying claims made against AI26 by a downstream recipient to the extent caused by your breach, without duplicate recovery and subject to Section 10.1.
10.3 AI26 indemnity
AI26 will defend and indemnify you, your affiliates and their personnel, representatives and agents against third-party claims and resulting liabilities and reasonable defense costs caused by AI26’s use or licensing outside the permitted scope or contrary to applicable law, or its or its personnel’s or contractors’ fraud, gross negligence or intentional misconduct, subject to Section 10.1. No indemnity covers the protected party’s own wrongful conduct to the extent it caused the loss.
10.4 Claim handling
The protected party must give prompt written notice; delay excuses the defending party only to the extent it causes material prejudice. The defending party controls a competent defense and reasonable settlement and pays reasonable cooperation costs. It cannot admit fault on behalf of, impose a nonmonetary obligation on, or fail to release the protected party without that party’s written consent. The protected party may participate with its own counsel at its expense, except where a material conflict requires separate representation. If the defending party fails to take up a required defense promptly, the protected party may defend reasonably and seek recoverable costs.
11. General provisions
11.1 Assignment
Neither party may transfer the agreement without the other’s written approval, which must not be withheld, delayed or conditioned unreasonably. A transfer as part of a merger, acquisition or sale of substantially all relevant assets is permitted on notice, except a transfer to the other party’s competitor still requires consent. A prohibited transfer is ineffective. Authorized sublicensing is governed separately by Section 3. Permitted successors remain bound.
11.2 Governing law and dispute forum
The signed order must state the governing law, courts or arbitral seat, institution, procedural rules, language and any mandatory-law carve-outs. These Terms do not silently select a jurisdiction. The parties exclude the United Nations Convention on Contracts for the International Sale of Goods to the extent permissible. Before ordinary proceedings, authorized representatives will attempt a good-faith resolution for 30 days after notice, without preventing urgent protective relief or steps necessary to preserve a limitation period. A class or collective proceeding waiver applies only if expressly agreed and legally permitted.
11.3 Arbitration if selected
If an order selects arbitration, it must identify the seat, administering institution and rules. Unless that order provides otherwise, the proceeding will be in English before one arbitrator; the award may be enforced in a competent court. The arbitrator decides arbitrability to the extent permitted by the governing law, but either party may seek urgent injunctive or protective relief from a competent court without waiving arbitration. The applicable arbitration statute prevails over inconsistent procedural choices; mandatory court powers cannot be excluded. If the parties select California/JAMS arbitration, they must expressly address the Federal Arbitration Act, California fallback procedure and delegation of threshold issues in the order.
11.4 Notices
Formal notices go to the contacts and notice addresses in the signed order, not an invented website email. Personal delivery and registered or certified mail are effective on receipt; tracked next-business-day courier delivery is effective the following business day after dispatch; email is effective on confirmed receipt, excluding an automated failure notice. A party may update its details by notice. The public identification of AI26 is Stoa Labs FZ-LLC, Ras Al Khaimah, United Arab Emirates; fuller details required for execution or service belong in the private order.
11.5 Changes, waivers and severability
Amendments require a signed writing by both parties. Website updates, silence, conduct and administrative documents do not amend an existing order. A waiver must be signed and is limited to its stated instance. If a clause cannot lawfully be enforced, it is narrowed only as much as necessary, or severed if narrowing is unavailable, without invalidating the remaining agreement.
11.6 Entire agreement and separate dealings
The signed order, its identified version of these Terms and incorporated schedules are the complete agreement for the specified data license and replace prior negotiations on that subject. Invoice legends, purchase-order boilerplate and portal terms do not change it. Separate service or commercial agreements remain effective unless expressly modified. Neither party may bind the other; the relationship creates no employment, partnership, franchise, joint venture or agency.
11.7 Signatures, construction and beneficiaries
Counterparts and legally recognized electronic or scanned signatures may be used; each signer warrants authority. Headings aid navigation and create no additional rights. No presumption against a drafter applies where law allows. Only the parties, AI26 affiliates expressly granted license rights and expressly indemnified persons may enforce benefits conferred on them; customers receive rights under their own licenses, not an unrestricted right to enforce this entire agreement.
11.8 Legal and operational prerequisites
Neither party must perform an unlawful transaction or breach applicable sanctions or export controls. Identity, authority and payment verification may be required before a transaction. A party affected by an event beyond reasonable control must notify the other and mitigate; such an event does not excuse accrued payment, confidentiality or data-protection duties. Unavoidable delays and any long-stop termination arrangements should be stated in the order. These Terms are not a privacy notice and do not replace notices that applicable law requires you or AI26 to provide.
